Welcome to CenCuSer E-Library!
These Terms and Conditions ("Terms") constitute a legally binding agreement between the user ("User") and CenCuSer ("Company") governing access to and use of the CenCuSer E-Library website and mobile applications (collectively, the "Products"). By accessing or using the Products, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you are expressly prohibited from accessing or using the Products.
Eligibility
Access to the Products is restricted to verified subscribers of CenCuSer services. The Company reserves the right, at its sole discretion, to modify eligibility requirements or deny access to any individual or entity without prior notice.
Modification and Termination of Services
- The Company reserves the unilateral right to amend, suspend, or discontinue the Products or any part thereof at any time, with or without notice.
- Changes to the Products may include but are not limited to functionality updates, content modifications, or the addition/removal of features.
- The Company shall not be liable for any consequences arising from the modification, suspension, or discontinuation of the Products.
User Conduct
By using the Products, the User agrees to:
- Refrain from unauthorized downloading, systematic storage, reproduction, transmission, or dissemination of any content accessible via the Products.
- Use the Products solely for lawful purposes and in compliance with applicable laws and regulations.
- Abstain from engaging in activities that may compromise the security, functionality, or integrity of the Products, including but not limited to hacking, data scraping, or introducing malicious software.
Intellectual Property Rights
- All content, including but not limited to text, graphics, logos, and software available on the Products, is the exclusive intellectual property of the Company and is protected under applicable copyright, trademark, and other intellectual property laws.
- Unauthorized use, duplication, or distribution of content shall constitute a breach of these Terms and may result in legal action, including claims for damages and injunctive relief.
- The User acknowledges that all proprietary rights in the Products remain vested with the Company.
Indemnification
The User agrees to indemnify, defend, and fully compensate the Company, its affiliates, officers, directors, employees, and agents against any claims, liabilities, damages, losses, or expenses (including reasonable attorney`s fees) that arise out of or are directly or indirectly related to:
- The User`s breach of these Terms;
- Unauthorized use of the Products;
- Violation of applicable laws or rights of third parties.
Limitation of Liability
- The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Under no circumstances shall the Company be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the User`s use of the Products, even if the Company has been advised of the possibility of such damages.
- The Company`s total liability is limited to a refund of the subscription fee for the unexpired portion of the User`s subscription period.
Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
Response Time: The Company endeavors to resolve complaints within 7 business days from receipt.
Changes to These Terms
- The Company reserves the right to amend these Terms at any time without prior notice. Material changes will be communicated via email or through a notice on the Products.
- Continued use of the Products following such notice constitutes the User`s acceptance of the revised Terms.
Termination
- The Company reserves the right to terminate or suspend the User`s access to the Products at its sole discretion, without prior notice, for any reason, including but not limited to violations of these Terms.
- Upon termination, the User must cease all use of the Products and destroy any copies of content obtained from the Products.
Force Majeure
The Company shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, civil unrest, or cyberattacks.
Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
